2.5 TRACKERS

If you do not agree, do not use the Services.


3.2 Services

Viestra provides marketing-related services that may include consulting, strategy, analytics, advertising support, content, and related deliverables as agreed in writing (proposal, scope of work, or contract).

Specific deliverables, timelines, and pricing are defined in written agreements.


3.3 No Professional Guarantees

Marketing results vary based on many factors outside our control (market conditions, budget, competitive landscape, platform policies, your internal operations, website performance, etc.).
We do not guarantee specific outcomes, including rankings, revenue, lead volume, or conversion rates, unless explicitly stated in a signed agreement.


3.4 Client Responsibilities

If you are a client, you agree to:

  • Provide timely access to required accounts, assets, and information
  • Review and approve deliverables promptly
  • Ensure your business claims and content are accurate and compliant with applicable laws
  • Maintain required licenses/permissions for logos, images, and content you provide

Delays in access or approvals may affect timelines.


3.5 Payments, Fees, and Billing (if applicable)

Unless otherwise stated in writing:

  • Invoices are due upon receipt or within the timeframe stated on the invoice
  • Late payments may result in paused work until the account is current
  • You are responsible for third-party costs (e.g., ad spend, platform subscriptions, hosting) unless explicitly included

Refunds, if any, are governed by the signed agreement.


3.6 Intellectual Property

A. Your materials

You retain ownership of materials you provide to us. You grant us a limited license to use them solely to perform the Services.


B. Our materials

We retain ownership of our pre-existing methods, templates, processes, tools, and know-how.


C. Deliverables

Unless otherwise agreed in writing, once all invoices are paid, you receive a license to use final deliverables created specifically for you for your business purposes. Drafts, unused concepts, and internal working files may remain ours.


3.7 Confidentiality

If we receive non-public information about your business, we will use reasonable care to keep it confidential and only use it to perform Services.
This does not apply to information that is publicly available, already known to us, or lawfully obtained from another source.

For higher confidentiality needs, we can use a separate NDA.


3.8 Third-Party Platforms and Tools

We may work with platforms like Google, Meta, LinkedIn, email providers, analytics tools, CRMs, and hosting platforms.
You acknowledge:

  • These platforms have their own terms and policies
  • We are not responsible for platform outages, policy changes, suspensions, or changes in performance due to platform decisions
     

3.9 Website Use and Acceptable Conduct

You agree not to:

  • Misuse the Services or attempt unauthorized access
  • Introduce malware, scrape data, or interfere with the website
  • Use our content without permission
     

3.10 Disclaimers

The website and Services are provided “as is” and “as available.” We disclaim warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


3.11 Limitation of Liability

To the fullest extent permitted by law:

  • Viestra is not liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim related to the Services will not exceed the amount you paid us for the Services giving rise to the claim during the three (3) months prior to the event (or, if no payment was made, $100)

Some jurisdictions do not allow certain limitations, so these may not apply to you.


3.12 Indemnification

You agree to indemnify and hold Viestra harmless from claims arising out of:

  • Your misuse of the Services
  • Content/materials you provide that infringe third-party rights
  • Your violation of laws, regulations, or third-party platform terms
     

3.13 Termination

We may suspend or terminate access to the Services if misuse occurs.

Client service termination terms (notice, fees, deliverables, wind-down) will be governed by the written agreement you sign with us.


3.14 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.


3.15 Changes to Terms

We may update these Terms from time to time. Changes are effective when posted with a new effective date.
